Chapter 1 General Provisions

Article 1 (Application of These Terms)

1. The lessor (the “Company”) shall rent a rental vehicle (the “Vehicle”) to the renter (the “Renter”), and the Renter shall rent it, in accordance with these rental terms (the “Terms”). Matters not provided for in the Terms shall be governed by applicable laws or general custom.

2. The Company may agree to special provisions that do not conflict with the purpose of the Terms, laws, administrative notices or general custom. Any such special provisions shall take precedence over the Terms.

Chapter 2 Reservations

Article 2 (Reservation Requests)

1. After agreeing to the Terms and the Company’s rate schedule and other provisions, the Renter may request a reservation by the method designated by the Company, specifying in advance the vehicle class, rental start date, pickup location, rental period, return location, driver, required equipment such as child seats, and other rental conditions (the “Rental Conditions”). The Company accepts reservations by telephone and email but shall not be liable for discrepancies between the reservation details and the actual circumstances.

2. In principle, the Company shall accept reservation requests subject to the availability of its Vehicles. Unless the Company specifically agrees otherwise, the Renter shall pay the reservation deposit prescribed by the Company.

Article 3 (Changes to Reservations)

Before signing the vehicle rental agreement (the “Rental Agreement”), the Renter must obtain the Company’s prior consent to change the Rental Conditions specified in paragraph 1 of the preceding Article.

Article 4 (Cancellation of Reservations)

1. The Renter may cancel a reservation by the method prescribed by the Company. 2. 5. If the Rental Agreement cannot be signed due to an accident, theft, non-return, recall, natural disaster or another reason attributable to neither the Renter nor the Company, the reservation shall be deemed cancelled.

6. Except as provided in the Terms, neither the Company nor the Renter shall make any claim against the other because the Rental Agreement was not signed.

Article 5 (Exemption from Liability)

On receiving police notification of an unattended parking violation, the Company shall instruct the Renter or Driver to move the Vehicle promptly and report to the police station with jurisdiction to resolve the violation by the end of the rental period or the time specified by the Company. The Renter or Driver shall comply. If the police have moved the Vehicle, the Company may, at its discretion, collect it directly from the police.

3. If illegal parking by the Renter or Driver causes the rental period to be exceeded, the Renter shall pay additional rental charges for the excess period.

4. After giving the instructions under paragraph 2, the Company may check how the violation has been resolved using the traffic violation notice, payment slip, receipt or similar documents. If it remains unresolved, the Company shall repeat its instructions until resolution. If the Renter or Driver fails to comply, the Company may terminate the Rental Agreement without notice or demand and require immediate return of the Vehicle. It may also require the Renter or Driver to personally sign the prescribed acknowledgement (the “Acknowledgement”) admitting the unattended parking violation and agreeing to appear before the police or other authorities and undergo the legal procedures as the offender. The Renter or Driver shall comply.

5. If the Renter or Driver has reimbursed the penalty and the payment order is subsequently revoked, for example because the offender pays the traffic fine or is prosecuted, the Company shall return any refunded penalty amount to the Renter or Driver.

7. If the Company receives the payment order referred to above, or the Renter or Driver fails to pay the amount claimed by the specified deadline, the Company may refuse future rentals to them.

Chapter 5 Return

2. Unless the failure is caused by a natural disaster or other force majeure, the Renter or Driver shall pay an amount equivalent to the rental charges from expiry of the rental period until the Vehicle and equipment are returned. The Renter shall also compensate the Company for all losses resulting from the breach.

3. If a natural disaster or other force majeure prevents timely return of the Vehicle and equipment, the Renter or Driver shall not be liable for resulting losses to the Company, but shall immediately contact the Company and follow its instructions.

Article 19 (Checks on Return)

1. The Renter or Driver shall replenish the fuel and return the Vehicle and equipment in the Company’s presence in the condition at handover, except for normal wear and deterioration. Instead of refuelling, the corresponding fuel charge may be paid as provided in Article 21, paragraph 2.

2. In that case, the Company shall take necessary measures to locate the Vehicle and equipment, including inquiries with the Renter’s or Driver’s family, relatives, employer or other associates and activation of a vehicle location system.

3. In the case under paragraph 1, the Renter or Driver shall pay an amount equivalent to the rental charges from expiry of the rental period until recovery of the Vehicle and equipment, and shall compensate the Company under Article 27 for its losses, including the costs of locating and recovering the Vehicle and locating the Renter or Driver.

If the breakdown results from a defect existing before rental, the Company shall provide a replacement Vehicle.

4. If the Renter does not accept the replacement Vehicle or the Company cannot provide one, the Rental Agreement shall end. The Company shall refund the rental and deductible waiver fees already received, less the fees corresponding to the period from handover until termination.

(3) Cooperate with investigations by the Company and its insurer into the theft or other damage, and promptly submit the documents and other materials requested by the Company.

Article 26 (Termination Due to Unavailability of the Vehicle)

1. If an accident, theft or other event (an “Incident”) makes the Vehicle unusable during the Period of Use, including where it no longer meets statutory standards under the Road Transport Vehicle Act or other laws, the Rental Agreement shall end. The Renter or Driver shall immediately return the Vehicle and equipment under Chapter 5.

2. In that case, the Renter shall immediately pay any Outstanding Charges or Fuel Settlement Charge under Chapter 5 and compensate the Company under Article 27 for its losses, including collection and repair costs. The Company shall not refund rental or deductible waiver fees already received.

3. If the Incident is attributable to none of the Renter, Driver or Company, the Company shall refund the rental and deductible waiver fees already received, less those corresponding to the period from handover until termination.

Chapter 7 Damages and Compensation

3. If the Renter or Driver causes an accident in violation of the prohibition on drink-driving in Article 16, item 7, no exemption from liability shall apply for any reason, and they shall pay the Company a penalty of JPY 300,000. They shall separately compensate any loss the Company suffers as a result of the violation.

Article 28 (Insurance)

1.If an accident involving the Vehicle occurs during the Period of Use, insurance benefits shall be paid under the Company’s vehicle insurance policy within the limits specified below (the “Coverage Limits”). 2. No benefits under paragraph 1 shall be paid where an exclusion under the insurance policy applies. 3. The Renter or Driver shall bear in full any uninsured loss and any loss exceeding the Coverage Limits.

4. If the Company pays damages that the Renter or Driver should bear, the Renter or Driver shall immediately reimburse the Company.

5. The deductibles under paragraph 1 or 2 shall be borne by the Renter or Driver. However, the Company shall bear them if the Renter joined and paid for the deductible waiver programme when signing the Rental Agreement and none of the following applies: an accident not reported to the police and the Company; an accident for which insurance benefits are not paid; an accident occurring after handover in circumstances falling under Article 8, paragraph 1, items 1 to 4, or any item of Article 16; or an accident occurring during an unauthorised rental extension.
